End User License Agreement (EULA)

This End User License Agreement ("Agreement") is between you (the "User," whether an individual or a single organization) and MediaBoxEnt Digital Studio LLC ("MediaBoxEnt," "we," "us," or "Licensor") for the MBX Flow™ software (the "Software"). By purchasing, activating, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not purchase, activate, or use the Software.

MBX Flow is currently sold as a Hosted service: MediaBoxEnt provisions and operates an instance of the Software for you, and the Hosted Service Addendum applies alongside this Agreement and controls wherever the two differ. Whichever way you run it, you alone are responsible for obtaining and complying with all third-party platform and API licenses you connect, and for the content you publish.

The Software can also run on infrastructure you provide and control (a "self-hosted installation"), where you are additionally responsible for installing, operating, maintaining, securing, updating and backing up the Software and your server — the section below headed "Self-Hosting, Operation & Security" sets this out, and applies to you only if you actually operate one. New self-hosted licenses are not offered for purchase at this time; self-hosting may be offered again in the future, and this Agreement is written so that it needs no amendment when it is. License Grant

Subject to your continuous compliance with this Agreement and payment of any applicable fees, MediaBoxEnt Digital Studio LLC ("MediaBoxEnt," "we," "us") grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the MBX Flow™ software (the "Software") for your own internal or business purposes, within the scope of the plan/tier you purchased or activated (Starter, Pro, Studio, or Enterprise on the Hosted Service, plus any Premium Add-ons; or the free Community Edition on a self-hosted installation). All rights not expressly granted are reserved.

Where a plan describes an account or network limit as "customizable" (currently the Enterprise plan), the applicable limit is the one agreed in your license terms; where no specific cap is agreed, the absence of a license-enforced cap is not a guarantee of performance, throughput, or reliability at any particular scale. You remain solely responsible for ensuring your own server and infrastructure can support the volume of connected accounts and publishing activity you configure, consistent with the Self-Hosting, Operation & Security section below.

Who the License Belongs To

A license is issued either to the individual who purchased it or to the organization that purchased it, as identified at checkout. It is personal to that individual or organization and may not be shared, sold, rented, sublicensed, transferred, gifted, or otherwise made available to any other person, account, or organization, in whole or in part.

A license may be used on up to the number of installations permitted by the plan you purchased, and no more. Attempting to activate a key beyond its installation limit will be rejected by our license server.

Your Responsibility to Protect Your License

You are responsible for protecting your license key, your account credentials, and any access derived from them, with the same care you would use for a password. If you believe your license key has been stolen, leaked, or otherwise compromised, you must notify us promptly at support@mbxflow.com so we can assist you.

Sharing a license key — intentionally or through negligence — may result in suspension or revocation of that license, at our discretion, without refund, particularly where sharing results in activations beyond the licensed installation limit.

Lost Keys, Reactivation & Recovery

If you lose your license key, you can recover it yourself at any time at mbxflow.com/recover using the email address it was issued to.

The loss of a license key does not automatically entitle you to a new, additional license free of charge. Where recovery through the email flow is not possible (e.g., you no longer control that inbox), we will reissue or reset access only after we are able to reasonably verify your identity and your original purchase.

We may reset the activation count of a license (freeing up installation slots) for a legitimate customer after verifying the request — for example, when you have decommissioned an old server and moved to a new one.

License Restrictions

You shall not, and shall not permit any third party to:

  • copy, reproduce, or distribute the Software except as expressly permitted herein;
  • modify, adapt, translate, or create derivative works of the Software for redistribution or resale;
  • sell, rent, lease, lend, sublicense, host as a service for third parties, or otherwise commercially exploit the Software without prior written permission;
  • reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law;
  • remove, alter, or obscure any copyright, trademark, or other proprietary notices;
  • attempt to bypass, disable, or circumvent the license validation system;
  • use the Software, at any scale, in a manner that violates the terms of service of any connected third-party platform (e.g., spam, coordinated inauthentic behavior, or automated abuse);
  • use the Software to build a competing product or service.

Clarification for agencies and multi-client use: using your own installation to manage social media accounts, content, or brands on behalf of your own clients is permitted and is not, by itself, "hosting as a service for third parties" — provided you do not give those clients direct access to your installation, server, or license, and you are not reselling, sublicensing, or redistributing the Software itself.

Ownership & Intellectual Property

The Software is licensed, not sold. MediaBoxEnt and its licensors retain all right, title, and interest in and to the Software, including all source code, designs, documentation, trademarks, logos, graphics, workflows, and user interfaces. "MBX Flow" and the MBX Flow logo are trademarks of MediaBoxEnt Digital Studio LLC.

Plans, Fees, Billing & Renewals

MBX Flow is offered under a tiered model, every edition activated by a license key: paid Starter, Pro, Studio, and Enterprise plans, each available as Monthly, Annual, or (where offered) Perpetual/Lifetime licenses, plus optional Premium Add-ons that attach to a paid plan.

Starter is sold on the Hosted Service only and has no self-hosted equivalent. The free Community Edition (obtained at no cost by email at mbxflow.com/community) is the opposite case: it exists for self-hosted installations only, and there is no Community Edition on the Hosted Service. New self-hosted licenses are not offered for purchase at this time, so every plan currently on sale is a Hosted plan.

Monthly and Annual licenses are subscriptions billed automatically through our payment processor (Stripe) until cancelled. They remain valid through the end of the period you already paid for, and expire shortly after if not renewed — your installation then automatically continues running as the free Community Edition rather than stopping working.

A Perpetual/Lifetime license, where offered, does not expire and is not billed again, but remains subject to the installation limit, restrictions, and all other terms of this Agreement.

You can manage your subscription — update your payment method, change plans, view invoices, or cancel — at mbxflow.com/manage. Cancelling stops future renewal charges; it does not retroactively refund the current billing period except as described in our Refund Policy.

No Guarantee of Permanent Access

We do not guarantee uninterrupted or permanent access to any paid tier. Your access may be suspended or the license revoked if: your payment fails and is not resolved after a reasonable grace period; you violate this Agreement (including the restrictions in Section 5); or you request a refund or chargeback for the license (see our Refund Policy). Legitimate, good-faith customers who lose access due to a billing hiccup can always reach us at support@mbxflow.com to sort it out.

Data Processed to Validate a License

To activate and periodically re-validate a license, your installation sends our license server: the license key, a randomly generated installation identifier (not tied to any personal data), and the Software version. This is the minimum information necessary to enforce installation limits and expiration, and is covered in more detail in our Privacy Policy.

Third-Party Services, Credentials & Content

The Software connects to third-party platforms and APIs that you choose to use — including the social/publishing platforms available in the Software's Accounts page (the current list is shown there, since it changes as platforms are added or retired), AI providers for content generation (e.g., Anthropic, OpenAI, OpenRouter, Google), and image/media hosting (Cloudinary). You must supply your own accounts, API keys, and credentials, and you are solely responsible for obtaining, maintaining, and complying with the terms, licenses, fees, and policies of every third-party service you connect. MediaBoxEnt does not control and is not responsible for third-party services, their availability, their changes, or any suspension, throttling, or banning of your accounts. You are solely responsible for all content you create, schedule, or publish using the Software.

Where a connected service is usage-based (e.g., image/media hosting and CDNs such as Cloudinary, AI usage, or pay-per-use APIs), its quotas, limits, overages, and charges are governed by that provider and billed to you directly under your own account. MediaBoxEnt neither processes nor receives any such payment and is not responsible for it. Any usage or cost figures the Software displays are convenience estimates only — the provider's own dashboard is authoritative.

Self-Hosting, Operation & Security (Your Responsibility)

This section applies to self-hosted installations. If you are on a Hosted plan, MediaBoxEnt performs the operational duties described in this section on your behalf, as set out in the Hosted Service Addendum, and the responsibilities below do not apply to you.

When you self-host, the Software runs on infrastructure you provide, and you are solely and exclusively responsible for procuring, configuring, operating, maintaining, updating, monitoring, and securing the server(s), operating system, network, and environment on which the Software runs, including:

  • server provisioning, uptime, performance, and availability;
  • installation of security updates, patches, and new versions of the Software;
  • access control, authentication, firewalls, encryption, and protection against unauthorized access;
  • regular backups of your database and configuration, and verification that those backups can be restored;
  • protection and confidentiality of all API keys, tokens, passwords, credentials, and your license key stored on your server.

When you self-host, MediaBoxEnt does not host, monitor, back up, or secure your installation and has no access to your data unless you explicitly provide it for support purposes, and the Software does not automatically update itself: new versions are published for you to download and install manually. On a Hosted plan the position is different in both respects: MediaBoxEnt operates the instance and can access the data it holds in order to provide and support the Service, acting as your processor and only on your behalf (see the Hosted Service Addendum and the Privacy Policy), and MediaBoxEnt installs updates to Hosted instances for you. Backups are the one duty that does not transfer: the Software's backup and restore feature belongs to the self-hosted edition, and the Hosted Service does not include a backup service, as set out in the Hosted Service Addendum.

No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MediaBoxEnt does not warrant that the Software or the license server will be uninterrupted, error-free, secure, or that it will operate with any particular third-party service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MediaBoxEnt shall in no event be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, account suspension or banning, or for any damages arising out of or related to your use of, or inability to use, the Software, your server, your license, or any third-party service — even if advised of the possibility of such damages. In all cases, MediaBoxEnt's total aggregate liability shall not exceed the amount you actually paid for the Software license in the twelve (12) months preceding the event giving rise to the claim (or, for the free Community Edition, USD $0).

Indemnification

You agree to indemnify, defend, and hold harmless MediaBoxEnt and its officers, members, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Software, your content, your server, your credentials, your license, or your violation of this Agreement or of any third-party terms or applicable law.

Term & Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination you must stop using the Software and destroy all copies in your possession, and any paid license may be revoked without refund except as required by law or described in our Refund Policy. Sections 5, 6, 13, 14, and 16 survive termination.

Governing Law

This Agreement is governed by the laws of the United States and of the jurisdiction in which MediaBoxEnt Digital Studio LLC is established, without regard to conflict-of-laws principles. If you are a consumer resident in the European Union, the United Kingdom, or Switzerland, this choice of law does not deprive you of the protection of any mandatory consumer-protection provisions of the law of your country of residence, which continue to apply alongside this Agreement.

Changes to this Agreement

MediaBoxEnt may update this Agreement from time to time. Minor changes — clarifications, corrections, or updates that reflect new functionality — take effect when the revised version is published, and the version identifier above tells you which one you are reading.

Where a change is material and works to your disadvantage, we will give at least 30 days' notice before it takes effect: by email where we hold an address for your account or license, and in every case by publishing the revised Agreement under a new version identifier. If you do not accept a material change, you may stop using the Software and — on a paid subscription — cancel before the change takes effect. We do not apply material changes retroactively: the version you accepted governs your use until the new one takes effect.

Nothing in this section affects any right you have under the mandatory consumer-protection law of your country of residence.
