Terms of Service

The Service

MBX Flow is a content distribution engine that lets you compose, enhance with AI, schedule, and publish content to third-party platforms you connect.

MBX Flow is currently sold as a Hosted service: MediaBoxEnt provisions and operates an instance of it for you, on infrastructure we manage. If you are on a Hosted plan, the Hosted Service Addendum applies alongside these Terms and controls wherever the two differ on a point specific to the Hosted Service.

The Software can also run on infrastructure you provide and control (a "self-hosted installation"), and some clauses below are written for that arrangement — each is marked as such, and applies to you only if you actually operate one. New self-hosted licenses are not offered for purchase at this time; self-hosting may be offered again in the future, and these Terms are written so that it needs no amendment when it is. MBX Flow for Artists works differently in one respect. When you use it to publish an artist card, a gate, or a free download to mbxartists.com, MediaBoxEnt hosts that published content and serves it to your visitors. You are responsible for the content you publish and for holding the rights to it.

References to "support" mean any optional, best-effort assistance MediaBoxEnt may provide (for example, via support@mbxflow.com), with no guaranteed availability, response time, or service level.

Content you publish to mbxartists.com

You may only publish content you own or are licensed to distribute. Uploading a recording you do not have the right to give away is a breach of these Terms.

By publishing, you grant MediaBoxEnt a limited, non-exclusive, revocable licence to store, reproduce and serve that content for the sole purpose of operating the service on your behalf. We claim no ownership of your music, artwork or fan data, and this licence ends when you unpublish or delete the content.

We do not review content before it is published and have no obligation to monitor it. We may remove any content, and suspend or terminate any account, that breaches these Terms or is the subject of a valid rights complaint, with notice where practicable.

License

Your right to use the Software is governed by the End User License Agreement (EULA), which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the EULA regarding the software license, the EULA controls.

Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for any accounts, API keys, credentials, and license key you use with the Service and for all activity that occurs through your instance or installation.

Purchases & Billing

Paid plans are processed by Stripe, our payment processor. By purchasing a plan, you authorize us to charge your chosen payment method for the plan and billing interval you selected (Monthly, Annual, or Perpetual/Lifetime where offered), and, for subscriptions, to charge it again automatically at each renewal until you cancel.

Prices, applicable taxes, and any promotional codes are shown at checkout before you pay. You can update your payment method, view invoices, change plans, or cancel your subscription at any time at mbxflow.com/manage.

If a renewal payment fails, we will retry it automatically and may place your subscription in a short grace period. If payment still cannot be collected: on a Hosted plan your instance is suspended and, if it is not reactivated, eventually deleted, as described in the Hosted Service Addendum — there is no free Community Edition on the Hosted Service; on a self-hosted installation, the license lapses and the installation continues running as the free Community Edition.

Refunds & Cancellation

Refunds, cancellations, and what happens to Monthly, Annual, and Perpetual/Lifetime licenses are governed by our Refund Policy, incorporated into these Terms by reference.

User Responsibilities

You agree that you are solely responsible for:

• obtaining, maintaining, and complying with all licenses, terms, policies, and fees of every third-party platform, API, and service you connect (e.g., social networks, AI providers);
• safeguarding all credentials, API keys, tokens, and your license key used with the Service;
• all content you create, schedule, publish, or distribute through the Service;
• complying with all applicable laws and regulations in your use of the Service;
• self-hosted installations only: procuring, configuring, operating, updating, monitoring, backing up, and securing your own server. On a Hosted plan MediaBoxEnt performs these duties for you, as set out in the Hosted Service Addendum, and this item does not apply to you.

Acceptable Use

You shall not use the Service to:

• publish unlawful, infringing, defamatory, fraudulent, hateful, or harmful content;
• send spam or violate the terms, rate limits, or automation policies of any third-party platform;
• infringe the intellectual property or privacy rights of others;
• distribute malware or attempt to gain unauthorized access to any system, including our license server;
• share, resell, or provide your license or the Service to third parties except as permitted by the EULA.

Third-Party Platforms & APIs

The Service integrates with third-party platforms and APIs that are outside MediaBoxEnt's control. Your use of those services is governed solely by their respective terms. MediaBoxEnt is not responsible for the availability, behavior, pricing, policy changes, data handling, or enforcement actions (including suspensions or bans) of any third-party service, even where such actions result from your use of the Service.

Some connected services are usage-based (for example, image/media hosting and CDNs, AI providers, and pay-per-use APIs) — their quotas, rate limits, overages, and any charges are set and billed by those providers directly to you, and MediaBoxEnt is not a party to those transactions.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or compatible with any particular third-party platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MediaBoxEnt shall in no event be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, or account suspension or banning, arising out of or related to your use of, or inability to use, the Service, your instance or server, or any third-party service. MediaBoxEnt's total aggregate liability shall not exceed the amount you actually paid for your license in the twelve (12) months preceding the claim (or USD $0 for the free Community Edition).

Indemnification

You agree to indemnify, defend, and hold harmless MediaBoxEnt and its officers, members, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your instance or server, your credentials, your use of any third-party service, or your violation of these Terms, the EULA, or any applicable law.

Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your license if you breach these Terms or the EULA, or if a payment cannot be collected. Upon termination you must stop using the Service; on a Hosted plan your access ends and your instance is handled as described in the Hosted Service Addendum, and on a self-hosted installation you must also remove all copies of the Software. Sections 9, 10, 11, 12, and 15 survive termination.

Changes to these Terms

We may update these Terms from time to time. Minor changes — clarifications, corrections, new features, or updated contact details — take effect when the revised version is posted here, and the "Last Updated" date above tells you when that happened.

Where a change is material and works to your disadvantage — a price increase, a reduction in what your plan includes, or a change to your rights — we will notify you in advance by email at the address on your account, at least 30 days before it takes effect. If you do not accept it, you may cancel before it takes effect and it will not be applied to you. We do not apply material changes retroactively.

Nothing in this section affects any right you have under the mandatory consumer-protection law of your country of residence.

Governing Law

These Terms are governed by the laws of the United States and of the jurisdiction in which MediaBoxEnt Digital Studio LLC is established, without regard to conflict-of-laws principles. If you are a consumer resident in the European Union, the United Kingdom, or Switzerland, this choice of law does not deprive you of the protection of any mandatory consumer-protection provisions of the law of your country of residence, which continue to apply alongside these Terms.
